These Terms of Service govern your use of the products and services provided by Lilbex Technology Limited, a company incorporated in Nigeria (RC No. 8306944) under the Companies and Allied Matters Act 2020, with its registered office at No.1, Obanor Street, Benin, Edo State, Nigeria. Our products include City Wheels (customer delivery app), City Rider (rider management app), Fleet Management (business dashboard), and this website (lilbex.com). To use our services you must: — Be at least 18 years of age, or have the consent of a parent or legal guardian — Be capable of entering into a legally binding agreement under Nigerian law — Not be prohibited from using our services under any applicable law By using our services, you represent and warrant that you meet these requirements.

When you create an account with us, you are responsible for: — Providing accurate, current, and complete information during registration — Maintaining the confidentiality of your login credentials — All activity that occurs under your account — Notifying us immediately at hello@lilbex.com if you suspect unauthorised access We reserve the right to suspend or terminate accounts that provide false information, violate these terms, or engage in fraudulent or harmful activity. You may not create multiple accounts, share your account with others, or transfer your account to another person.

City Wheels is a delivery platform that connects customers with independent delivery riders. Placing Orders — when you place a delivery order, you are entering into a service agreement with the rider who accepts your request. Lilbex Technology facilitates this connection but is not a party to the delivery contract. Accurate Information — you are responsible for providing accurate pickup and delivery addresses, correct package descriptions, and being available to receive your delivery. Prohibited Items — you must not use City Wheels to send illegal items, hazardous materials, weapons, controlled substances, or any items prohibited under Nigerian law. Violation may result in immediate account termination and referral to law enforcement. Cancellations — orders may be cancelled before a rider accepts them. Cancellation after acceptance may incur a fee depending on the circumstances. Payments — all payments are processed securely through our payment partners. You authorise us to charge your selected payment method for the amount displayed at checkout.

City Rider is a platform for independent delivery riders to receive and fulfil delivery requests. Independent Contractor — riders using City Rider are independent contractors, not employees of Lilbex Technology Limited. You are responsible for your own taxes, insurance, and compliance with applicable laws. Eligibility to Ride — you must hold a valid Nigerian driving licence appropriate for your vehicle, maintain valid vehicle insurance, and ensure your vehicle is roadworthy at all times. Conduct — riders must treat customers with respect, handle packages with care, and complete deliveries in a timely and professional manner. Fraudulent activity, including false delivery confirmations, will result in immediate account suspension. Earnings — earnings are calculated based on completed deliveries and are subject to platform commission. Payout schedules and rates are communicated within the app and may be updated with notice. Proof of Delivery — riders are required to obtain proof of delivery (photo or digital signature) for every completed delivery as a condition of payment.

Fleet Management is a dashboard product for businesses managing delivery operations. Authorised Use — access is granted to the business entity that registers an account. You are responsible for managing user access within your organisation and ensuring all users comply with these terms. Data Accuracy — you are responsible for the accuracy of company information, rider data, and operational settings configured within your account. Subscription & Billing — Fleet Management may be subject to subscription fees. Pricing, billing cycles, and payment terms will be communicated at the time of subscription. We reserve the right to suspend access for non-payment after reasonable notice. Data Ownership — you retain ownership of your business data. We process it solely to provide the service as described in our Privacy Policy.

When using any of our services, you must not: — Violate any applicable Nigerian or international law or regulation — Infringe the intellectual property rights of Lilbex Technology or any third party — Transmit any harmful, offensive, defamatory, or fraudulent content — Attempt to gain unauthorised access to our systems or other users' accounts — Use automated tools, bots, or scrapers to access our services without permission — Interfere with or disrupt the integrity or performance of our platforms — Engage in any activity that could damage the reputation of Lilbex Technology or its users We reserve the right to investigate and take appropriate action, including account suspension and legal action, against any violation of these terms.

All content, software, designs, trademarks, and materials on our platforms — including City Wheels, City Rider, Fleet Management, and this website — are the intellectual property of Lilbex Technology Limited or our licensors. You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purpose. You may not copy, modify, distribute, sell, or create derivative works from our software or content without our express written permission. User-generated content (such as delivery photos or messages) remains your property, but you grant us a licence to use it as necessary to provide our services.

Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that our services will be uninterrupted, error-free, or free from viruses or other harmful components. To the maximum extent permitted by Nigerian law, Lilbex Technology Limited shall not be liable for: — Indirect, incidental, special, or consequential damages — Loss of profits, data, or business opportunities — Damages arising from the actions of independent riders or third-party service providers — Any loss or damage to packages during delivery Our total liability to you for any claim arising from use of our services shall not exceed the amount you paid to us in the 3 months preceding the claim.

You may stop using our services and delete your account at any time by contacting hello@lilbex.com. We may suspend or terminate your access to our services at any time, with or without notice, if we believe you have violated these terms, engaged in fraudulent activity, or if we are required to do so by law. Upon termination, your right to use our services ceases immediately. Provisions of these terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

These terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with these terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the jurisdiction of the Nigerian courts.

We may update these Terms of Service from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will notify you via email or a prominent notice within our apps. Your continued use of our services after changes take effect constitutes your acceptance of the updated terms. If you do not agree to the updated terms, you must stop using our services.
